Terms of Service

1. Agreement to Terms

By accessing or using the TenYear SDC Credit Marketplace ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Platform.

2. Description of Service

TenYear provides a marketplace platform that connects buyers and sellers of System Development Charge (SDC) credits. The Platform facilitates:

• Listing of SDC credits for sale
• Discovery and search of available credits
• Inquiries and communication between parties
• Transaction tracking and management
• Document storage for credit verification
• Pricing guidance and market analytics

TenYear is a marketplace facilitator and does not itself buy, sell, or own SDC credits.

3. User Accounts

Account Creation

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Account Types

Users may register as Buyers, Sellers, or Both. Sellers listing credits for sale are subject to additional verification requirements.

4. Seller Obligations

If you list SDC credits for sale, you represent and warrant that:

• You are the legal owner or authorized representative of the credit holder
• The credit is valid, unexpired, and has not been previously transferred or encumbered
• All information provided about the credit is accurate and complete
• The credit is transferable under applicable municipal rules
• You have the legal authority to complete the transfer
• You will provide all necessary documentation for verification
• You will respond to inquiries and transaction requests in a timely manner

5. Buyer Obligations

If you inquire about or purchase SDC credits, you acknowledge that:

• You are responsible for verifying credit eligibility for your intended use
• SDC credits have jurisdiction-specific transfer rules that may affect usability
• Credits have expiration dates and may become worthless if not used in time
• You will conduct your own due diligence before completing any transaction
• Payment terms are negotiated directly with sellers
• TenYear does not guarantee the validity or transferability of any credit

6. Transactions

Transaction Process

Transactions between buyers and sellers are facilitated through the Platform but are ultimately agreements between the parties. TenYear:

• Provides tools for tracking transaction status
• Stores documents related to the transaction
• May verify credits upon request
• Does not act as an escrow or payment processor
• Is not a party to transactions between users

Municipal Approval

Many SDC credit transfers require municipal approval. Users are responsible for understanding and complying with all applicable municipal requirements.

7. Fees

TenYear may charge fees for use of the Platform. Current fee structures, if any, will be disclosed before you complete a transaction. We reserve the right to modify our fee structure with reasonable notice to users.

8. Prohibited Activities

You agree not to:

• List credits you do not own or are not authorized to sell
• Provide false or misleading information about credits
• Engage in fraudulent transactions or misrepresentation
• Circumvent the Platform to avoid fees
• Use the Platform for any illegal purpose
• Interfere with or disrupt the Platform's operation
• Attempt to gain unauthorized access to any portion of the Platform
• Use automated systems to access the Platform without permission
• Harass, threaten, or defraud other users

9. Verification and Trust

TenYear may verify credits and users to enhance marketplace trust. However:

• Verification is not a guarantee of credit validity or transferability
• Users should conduct their own due diligence
• TenYear is not liable for unverified or incorrectly verified credits
• Verification status may change based on new information

10. Intellectual Property

The Platform and its original content, features, and functionality are owned by TenYear and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of content you upload to the Platform but grant TenYear a license to use, store, and display such content as necessary to provide our services.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TENYEAR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING:

• The accuracy or completeness of credit listings
• The validity or transferability of any SDC credit
• The reliability of any user or transaction
• Uninterrupted or error-free operation of the Platform
• The results obtained from using the Platform

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENYEAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Failed or incomplete credit transfers
• Disputes between buyers and sellers
• Municipal rejection of credit transfers
• Expired or invalid credits
• Unauthorized access to your account

Our total liability shall not exceed the fees paid by you to TenYear in the twelve months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless TenYear and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Content you post or submit to the Platform
• Transactions you enter into with other users

14. Dispute Resolution

Between Users

Disputes between buyers and sellers should be resolved directly between the parties. TenYear may, at its discretion, provide mediation assistance but is not obligated to do so.

With TenYear

Any dispute with TenYear shall first be attempted to be resolved through informal negotiation. If not resolved within 30 days, disputes shall be resolved through binding arbitration in Portland, Oregon, in accordance with the rules of the American Arbitration Association.

15. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Platform will immediately cease
• Active listings will be removed
• Pending transactions may be cancelled
• You remain liable for any obligations incurred before termination

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the new Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
