Buyer Terms of Service

Terms governing purchase and transfer of SDC credits through the TenYear Marketplace.

§ 01 ·Buyer Agreement

By purchasing or making an offer on a System Development Charge (SDC) credit on the TenYear Marketplace ("Platform"), you agree to these Buyer Terms of Service in addition to our general Terms of Service. These terms govern the purchase and transfer of SDC credits through the Platform.

§ 02 ·Purchase Agreement

When you agree to buy a credit at the listed price ("Buy Now") or have an offer accepted by the seller, a Purchase & Sale Agreement (PSA) is generated for both parties to sign. You are obligated to:

  • Review and sign the PSA within 7 days of generation
  • Place the agreed purchase amount in escrow after signing
  • Cooperate with TenYear and the city during the transfer process
  • Respond to transfer-related requests within 48 hours

Failure to sign the PSA within the 7-day window will result in automatic cancellation of the transaction.

§ 03 ·Escrow Terms

After both parties sign the PSA, you will be required to place the agreed purchase price into escrow through Stripe, TenYear's payment processor. Stripe is a US-regulated payment processor; TenYear does not custody funds. Funds are held in a Stripe-managed escrow account governed by Stripe's Connected-account terms. Escrow funds are:

  • Held by Stripe until the city approves the transfer
  • Released to the seller (less platform fees) only upon city approval
  • Refunded to you if the transfer is rejected by the city or the transaction is cancelled before city approval

§ 04 ·Credit Transfer

The credit transfer is not complete until the issuing city officially approves and records the transfer. TenYear facilitates the transfer process through its municipal portal, but the final approval is at the city's discretion. TenYear does not guarantee:

  • A specific timeline for city approval
  • That the city will approve the transfer
  • The applicability of a credit to your specific project (you should verify with the city)

§ 05 ·Fees

TenYear charges a buyer platform fee in addition to the credit purchase price. The fee is calculated based on the agreed transaction amount and is displayed before you confirm your purchase. The platform fee is collected by Stripe at the time funds release; Stripe also charges card processing fees that are disclosed before checkout and pass through to you. Current fee rates are available on our Pricing page and may be updated with 30 days notice.

§ 06 ·Due Diligence

While TenYear verifies credits against municipal records where possible, you are responsible for your own due diligence regarding:

  • The applicability of the credit to your development project
  • Any jurisdiction-specific transfer rules or restrictions
  • Consultation with your legal or financial advisors as appropriate

§ 07 ·Cancellation and Refunds

You may cancel a transaction before the PSA is fully signed. After both parties sign:

  • Cancellation is subject to the terms of the PSA
  • If you have placed funds in escrow and the city rejects the transfer, your funds will be fully refunded
  • If you initiate cancellation after placing funds in escrow, refund terms depend on the circumstances and PSA terms

§ 08 ·Disputes

In the event of a dispute, TenYear will mediate in good faith. Escrow funds will be held until the dispute is resolved. TenYear's decision on disputes regarding the Platform is final and binding.
